Terms and Conditions — VF.Exchange

 

Welcome to VF.Exchange, an algorithmic trading platform for accredited and
high-net-worth investors. By accessing or using this platform, you agree to these Terms
and Conditions.

1. Eligibility
Access is restricted to accredited and high-net-worth individuals as defined under
applicable U.S. and Seychelles laws. Verification of investor status and source of funds is
required.

2. Nature of Service
VF.Exchange provides a proprietary algorithmic trading platform that executes trades on
behalf of clients. It does not provide financial advice or hold custody of funds.

3. Performance-Based Fees
Fees are calculated as a percentage of realized net profits. Rates are specified in
individual client agreements. Performance is not guaranteed.

4. Intellectual Property and Confidentiality
All trading systems, algorithms, and analytics are proprietary to VF.Exchange. Clients
must maintain strict confidentiality and may not copy or reverse engineer the system.

5. Limited Access and Non-Solicitation
VF.Exchange is for accredited investors only. Clients may not grant access or promote the
platform to non-accredited individuals. Breach may result in termination and legal action.

6. Account Responsibilities
Clients are responsible for account security and providing accurate information.
Misrepresentation or suspicious activity may lead to termination.

7. Limitations of Liability
VF.Exchange is provided ‘as is’ without warranty. The company is not liable for trading
losses, delays, or system failures. Liability is limited to fees paid in the past 12 months.

8. Indemnification
Clients agree to indemnify and hold harmless VF.Exchange and its affiliates against claims
arising from misuse, breach, or legal violations.

9. Suspension and Termination
VF.Exchange may suspend or terminate accounts for breach, non-compliance, or unlawful
activity. Clients may terminate with written notice; fees remain payable.

10. Privacy and Data Handling
Personal data is handled under the VF.Exchange Privacy Policy, accessible on our
website.

11. Jurisdiction and Governing Law
These Terms are governed by the laws of Seychelles and, where applicable, U.S. law.
Disputes are resolved by confidential arbitration in Victoria, Seychelles.

12. Amendments
VF.Exchange may modify these Terms at any time. Continued use implies acceptance of
changes.

VF.Exchange is regulated by the Seychelles Financial Services Authority (FSA) with Securities Dealer’s license number SD018.
